These Terms of Use (“Terms”) govern your access to and use of the Prinvent Marketplace website, platform, products, services, downloadable content, seller tools, and related features.

By accessing or using Prinvent Marketplace, creating an account, listing products, placing an order, or otherwise using the platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the platform.

1. About Prinvent Marketplace

Prinvent Marketplace is an online platform focused on 3D printing-related products and services. The platform may include:

  • physical products
  • digital and downloadable files
  • custom-made or printed-to-order products
  • products sold directly by Prinvent
  • products listed and fulfilled by third-party sellers

Prinvent operates the platform, manages customer-facing transactions, and may act as the legal seller in transactions made through the platform. Third-party sellers may use the platform to list and fulfill products, but Prinvent may remain the contracting party with the customer depending on the transaction structure presented on the platform.

Online marketplaces in the EU are expected to clearly inform consumers whether the third party offering the goods is a trader and who the contract is concluded with.

2. Eligibility and Accounts

You may use Prinvent Marketplace only if you are legally capable of entering into binding agreements under applicable law.

Users may create customer or seller accounts on the platform. By creating an account, you agree to:

  • provide accurate, current, and complete information
  • keep your login credentials secure
  • be responsible for activity carried out through your account
  • update your information when necessary

You must not impersonate another person, create false accounts, or use the platform for unlawful or abusive purposes.

3. Seller Registration and Approval

Users may apply to register as sellers on Prinvent Marketplace. Sellers may include both:

  • private individuals
  • companies or other legal entities

Prinvent reserves the right to approve, reject, suspend, or remove any seller account or seller listing at its sole discretion, including where necessary for trust, safety, legal compliance, platform quality, or business reasons.

Prinvent may request additional information or documentation from sellers at any time.

4. Products and Listings

Products listed on Prinvent Marketplace may include goods sold directly by Prinvent and goods or digital content made available by third-party sellers.

Sellers are solely responsible for:

  • the accuracy of their listings
  • product descriptions
  • images and content
  • legality of listed items
  • fulfillment and dispatch where applicable
  • ensuring they have the rights to sell or distribute the listed products or files

Prinvent reserves the right to edit, refuse, suspend, or remove any listing that is inaccurate, misleading, unlawful, infringing, inappropriate, or harmful to the platform or its users.

5. Prohibited Products and Content

Users and sellers may not use Prinvent Marketplace to upload, offer, sell, distribute, or promote any product, file, content, or material that:

  • is unlawful under applicable law
  • infringes intellectual property rights
  • is counterfeit, stolen, or fraudulent
  • contains malware, harmful code, or security risks
  • is defamatory, abusive, hateful, or obscene
  • violates third-party privacy or publicity rights
  • is unsafe, misleading, or misrepresented
  • is prohibited by platform policy or applicable regulation

Prinvent may remove any prohibited content or product without prior notice.

6. Orders and Contract Formation

By placing an order through Prinvent Marketplace, you submit an offer to purchase the selected product or products.

A binding contract is formed when the order is accepted by Prinvent. Prinvent may act as the contracting party for customer purchases made through the platform, including where products are supplied or fulfilled by third-party sellers.

This structure should match the actual commercial setup shown to customers, because EU consumer rules require marketplaces to be transparent about whether the contract is concluded with the marketplace provider or a third party.

Prinvent reserves the right to refuse, cancel, or limit any order, including in cases of:

  • suspected fraud
  • suspicious activity
  • pricing or technical errors
  • unavailable products
  • legal or compliance concerns
  • misuse of the platform

7. Payments

All payments on Prinvent Marketplace are processed through Prinvent or its designated payment processing arrangements.

By placing an order, you agree to provide accurate payment information and authorize the applicable charge.

Prinvent reserves the right to delay, hold, cancel, or refuse transactions where necessary for fraud prevention, compliance, technical review, or risk management.

8. Shipping, Delivery, Returns, and Complaints

Shipping, delivery, returns, and related conditions are governed by the separate Shipping & Returns page and any product-specific information shown on the platform.

Customers should review those terms before placing an order.

For products supplied by marketplace sellers, customers should contact the seller first regarding product-specific issues, complaints, order matters, or fulfillment concerns, unless the platform states otherwise.

Prinvent may assist in communication, investigation, or dispute handling, but does not guarantee a specific outcome in every case.

9. Digital Products and Downloads

Prinvent Marketplace may offer digital or downloadable files, including 3D-related files and other digital content.

By purchasing a downloadable product, the customer receives a limited, non-transferable, non-exclusive right to use the file for its intended personal or permitted business purpose, subject to the product listing and these Terms.

Unless expressly stated otherwise:

  • downloaded files may not be resold, sublicensed, redistributed, shared, or made publicly available
  • files may be modified for personal use
  • access to digital content may be restricted, revoked, or limited where misuse, infringement, or fraud is suspected

Under EU consumer rules, digital content not supplied on a tangible medium can fall under specific withdrawal exceptions once supply begins with the consumer’s prior consent and acknowledgment that the withdrawal right is lost.

10. Refunds for Digital Content

Unless mandatory law provides otherwise, downloadable products are non-refundable after access has been granted or download has begun.

This clause should be read together with any checkout consent wording used on the platform for digital content purchases.

EU rules allow a withdrawal exception for digital content not supplied on a tangible medium where the consumer has expressly consented to performance beginning and acknowledged the loss of the withdrawal right.

11. Custom-Made and Printed-to-Order Products

Prinvent Marketplace may offer custom-made, personalized, or printed-to-order products.

Such products may be subject to product-specific conditions, fulfillment limitations, and return rules as described in the relevant listing or in the Shipping & Returns page.

Customers are responsible for reviewing product descriptions carefully before purchase.

12. User Conduct

You agree not to:

  • violate any law or regulation
  • misuse the platform
  • interfere with website security or operation
  • scrape, copy, or exploit platform content without authorization
  • upload false, deceptive, or infringing material
  • harass, threaten, or abuse other users
  • use the platform to distribute spam, malware, or harmful code

Prinvent may investigate suspected misuse and take action including suspension, removal of content, cancellation of orders, or account termination.

13. Seller Content and Intellectual Property

Sellers retain ownership of the content they upload to Prinvent Marketplace, including product descriptions, images, branding elements, and digital files, to the extent they legally own such content.

By uploading or publishing content on the platform, the seller grants Prinvent a non-exclusive, worldwide, royalty-free, sublicensable license to:

  • host
  • store
  • reproduce
  • display
  • distribute
  • format
  • adapt for technical purposes
  • use for marketplace operations
  • use for promotional and marketing purposes related to Prinvent Marketplace

The seller represents and warrants that they have all necessary rights to upload and license such content.

14. Prinvent Intellectual Property

All rights in the Prinvent Marketplace platform, including website design, branding, logos, software, text, database structure, and platform content created by Prinvent, are owned by or licensed to Prinvent unless otherwise stated.

You may not copy, reproduce, modify, distribute, reverse engineer, or commercially exploit any part of the platform without prior written permission, except as allowed by law.

15. Suspension and Termination

Prinvent may suspend, restrict, or terminate any account, listing, order access, or platform access at any time where necessary, including in cases of:

  • fraud or suspected fraud
  • abusive conduct
  • intellectual property infringement
  • false listings
  • policy violations
  • security threats
  • non-compliance with applicable law
  • conduct harmful to the platform or other users

Termination does not affect any rights or obligations that arose before termination.

16. Platform Availability

Prinvent aims to keep the platform available and functioning properly, but does not guarantee uninterrupted, secure, or error-free operation.

The platform may occasionally be unavailable due to:

  • maintenance
  • updates
  • technical issues
  • third-party service failures
  • security incidents
  • force majeure events

Prinvent may modify, suspend, or discontinue any part of the platform at any time.

17. Limitation of Liability

To the fullest extent permitted by law, Prinvent shall not be liable for:

  • inaccuracies in seller-provided listings
  • seller conduct or seller omissions
  • delays or failures caused by shipping providers or third parties
  • technical interruptions or downtime
  • data loss, business interruption, or indirect losses
  • unauthorized account access caused by the user’s failure to protect credentials
  • losses resulting from misuse of downloadable files or third-party content

Nothing in these Terms excludes liability where exclusion is not permitted by applicable law, including mandatory consumer protection rights.

For faulty goods and faulty digital content, EU law gives consumers statutory remedies that cannot be waived by contract.

18. Privacy

Use of Prinvent Marketplace is also governed by our Privacy Policy.

By using the platform, you acknowledge that personal data may be processed in accordance with that policy.

19. Changes to the Terms

Prinvent may update these Terms from time to time.

Updated Terms become effective when published on the platform unless stated otherwise. Continued use of the platform after changes are published means you accept the updated Terms.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Latvia.

Any dispute arising out of or in connection with these Terms or the use of Prinvent Marketplace shall be subject to the jurisdiction of the competent courts of Latvia, unless mandatory law provides otherwise.
